GENERAL TERMS AND CONDITIONS 

ARTICLE 1 - PURPOSE OF LA PLACE FINTECH The mission of La Place Fintech is to foster the emergence and development of fintech companies by providing an environment conducive to innovation, collaboration, and growth. It offers support services to all stakeholders in the financial ecosystem, including startups, large corporations, institutions, and investors, such as access to a network of experts, mentoring programs, networking events, and funding opportunities. As a major player in the fintech ecosystem, La Place Fintech plays an important role in promoting innovation, modernizing the financial sector, and positioning France as a European fintech hub. ARTICLE 2 - BENEFITS OF MEMBERSHIP TO LA PLACE FINTECH FACILITATOR LA PLACE FINTECH offers and allows its members: - Access to an engaged community - High-quality networking opportunities - Stay informed about the latest developments in the ecosystem - Participation in acculturation sessions ARTICLE 3 - MEMBERSHIP COMMITMENT Signing this Membership Application Form is a commitment to join LA PLACE FINTECH for a period of 1 year, which entails the payment of the corresponding membership fee. The subscription to LA PLACE FINTECH is considered firm and final and does not entitle the client to a refund of the paid membership fee. By joining LA PLACE FINTECH, the client agrees to comply with the internal regulations provided at Palais Brongniart. ARTICLE 4 - CONTRACT DURATION AND RENEWAL Membership in the Association is valid for a period of 1 year from the date of signing this document. At the end of the initial annual membership period, it will be automatically renewed for an equal duration of one year, unless the member chooses not to benefit from the renewal. In such a case, the member's refusal will be effective only upon receipt of a registered letter with acknowledgment of receipt (RAR) denouncing the renewal of membership at least two months before the expiration date. The same process applies to subsequent renewals. ARTICLE 5 - MEMBERSHIP FEE The annual membership fee is set at an amount of 300 euros, including all taxes (300€ TTC/year). The full amount is paid upon subscription by the buyer. LA PLACE FINTECH reserves the right to adjust the annual membership fee at its discretion, which may lead to a possible increase. ARTICLE 6 - CANCELLATION OF SUBSCRIPTION OR CONTRACT TERMINATION Any cancellation of a subscription or termination of the contract, for any reason whatsoever, at any time, will not result in the refund of the membership fee paid as a subscription. Any amount already paid by the buyer remains the property of LA PLACE FINTECH. ARTICLE 7 - SITE/COMPLIANCE WITH STANDARDS The client shall be responsible for the repair of any damages caused to the site where events/manifestations take place (including Palais Brongniart) by its representatives, directors, shareholders/partners, employees, or officials. The client will indemnify LA PLACE FINTECH against any claim in this regard and will bear the sole cost of restoration. ARTICLE 8 - LIABILITY AND POSTPONEMENT OF EVENTS/MANIFESTATIONS In the event that LA PLACE FINTECH's liability is engaged, for any reason whatsoever, for damages of any kind, including direct and/or indirect damages (including immaterial damages), its liability will be strictly limited to an amount not exceeding one thousand euros (€1,000). In the event that events/manifestations organized by LA PLACE FINTECH are postponed or canceled without fault and/or due to circumstances beyond its control, LA PLACE FINTECH shall be exempt from any liability vis-à-vis the CLIENT/COMPANY. ARTICLE 9 - INSURANCE - CLIENT'S LIABILITY INSURANCE The CLIENT declares that it has liability insurance that will cover any liability it may incur during its participation in events/manifestations organized by LA PLACE FINTECH at Palais Brongniart. This insurance aims to cover any damages that may occur during the implementation of these general terms of membership. Upon request, the CLIENT will provide its insurance certificate. ARTICLE 10 - CONFIDENTIALITY OBLIGATION The CLIENT agrees to: (i) Take all reasonable precautions, with the same level of diligence as applied to its own confidential information of a similar nature, to prevent unauthorized disclosure of LA PLACE FINTECH's confidential information. (ii) Not disclose such confidential information to any third party without the express written authorization from LA PLACE FINTECH. ARTICLE 11 - INTELLECTUAL PROPERTY RIGHTS OF LA PLACE FINTECH The CLIENT is not authorized to use the trademarks and/or any other distinctive signs of LA PLACE FINTECH for any purpose unless expressly agreed in writing. The CLIENT's membership in LA PLACE FINTECH does not grant it any intellectual property rights, including reproduction rights. ARTICLE 12 - COMMUNICATION The CLIENT authorizes LA PLACE FINTECH, for the purposes of commercial reference and its own promotion, to reproduce and distribute all or part of: (i) Photographs and/or videos representing events/manifestations organized by LA PLACE FINTECH in which the CLIENT participated. (ii) Services provided by LA PLACE FINTECH on behalf of the CLIENT. (iii) The trade name and/or brand of the CLIENT on all physical and digital media, including websites, group catalogs, institutional brochures, commercial documentation, press and advertising publications, pages created on social networks or smartphone applications, and all other forms/formats of publication in France and abroad for a duration of 5 (five) years from the date of the CLIENT's subscription. The CLIENT declares and guarantees that it is the exclusive owner of the rights related to the elements mentioned above and that it has all the necessary rights and authorizations to grant LA PLACE FINTECH the permission to use the aforementioned rights. Otherwise, the CLIENT is invited to inform LA PLACE FINTECH expressly or indemnify it from any claims that may arise from the exploitation of the rights mentioned above. ARTICLE 13 - FORCED EXECUTION Given the specificity of the nature of the SERVICES and the indispensable expertise required for the performance of LA PLACE FINTECH's obligations under the CONTRACT, the PARTIES expressly agree to exclude the application of the provisions of articles 1221 and 1222 of the Civil Code. ARTICLE 14 - FORCE MAJEURE In accordance with the provisions of article 1218 of the Civil Code, LA PLACE FINTECH's obligations will be suspended in the event of force majeure. Expressly, a case of force majeure includes any event qualified as such by law and jurisprudence, including, without limitation, war, riot, fire, general strike, natural disaster, shortage of raw materials including gasoline/diesel, transportation strike, administrative closure of Palais Brongniart ordered by a competent authority with police powers unrelated to the COVID-19 epidemic, even if the legal and jurisprudential conditions are not met. In the event of force majeure, LA PLACE FINTECH will officially inform the CLIENT by registered letter with acknowledgment of receipt or by email sent to the client's email address. Consequently, the performance of obligations will be suspended. (i) If the impediment is temporary, the performance of the obligation will be suspended unless the resulting delay justifies the termination of the CONTRACT. (ii) If the impediment is permanent, in derogation from article 1218 of the Civil Code, the CONTRACT will be automatically terminated, and LA PLACE FINTECH will be released from its obligations. ARTICLE 15 - COVID-19 - SPECIFIC CANCELLATION OR POSTPONEMENT CLAUSE In the event that one or more of the listed Restrictions apply to the MANIFESTATION/EVENT due to the Covid-19 pandemic, the Parties agree to: i. Postpone the execution of the SERVICES to a later date within four (4) months. ii. If the postponement of the services is not possible, terminate the CONTRACT. This termination will take effect upon receipt by the COMPANY of the first written request from LA PLACE FINTECH requesting termination of the CONTRACT. List of Restrictions: Measures issued by the competent authorities: confinement, ban on gatherings, administrative closure of the site, travel restrictions affecting at least 50% of the participants in the MANIFESTATION/EVENT. ARTICLE 16 - UNFORESEEN CIRCUMSTANCES The PARTIES exclude the application of article 1195 of the Civil Code. In the event of an imbalance in the CONTRACT due to unforeseen circumstances at the time of its conclusion, the PARTIES will meet, and LA PLACE FINTECH may request a renegotiation of the PRICE. In the event of refusal or failure of the renegotiation, the CONTRACT shall be automatically terminated. ARTICLE 17 - PERSONAL DATA - COMPLIANCE 17.1 Processing of personal data carried out by LA PLACE FINTECH as data controller In accordance with Law No. 78-17 of January 6, 1978, as amended, and Regulation (EU) 2016/679 (GDPR), LA PLACE FINTECH, as the data controller, processes personal data provided by the COMPANY within the framework of the services offered. The communication of personal data is mandatory to process the ORDER whenever the personal data is identified by an asterisk or identified as such. The processing of personal data has the following purposes: A) Management and monitoring of the contractual or pre-contractual relationship (negotiations, processing, and execution of services, invoicing, management of unpaid invoices, and litigation). B) Exploitation, development, and management of customer/prospect databases (sending newsletters, commercial prospecting, processing of requests to exercise rights, management of contact requests). C) Improvement and personalization of services for the CLIENT (statistics, satisfaction surveys, management of newsletter subscriptions). D) Transfer of personal data to LA PLACE FINTECH's partners in the context of a business relationship (transfers). E) Compliance with legal obligations. The legal basis for processing personal data, the purpose of which falls within the abovementioned categories, is as follows: - For category A): the performance of a contract or the performance of pre-contractual measures taken at the request of the CLIENT. - For categories B) and C): the legitimate interest represented for LA PLACE FINTECH by these categories. - For category D): the CLIENT's consent, which can be withdrawn at any time thereafter. - For category E): compliance with legal obligations. The recipients of personal data are the relevant departments of LA PLACE FINTECH, its partners, or GL events group companies (where applicable), and certain subcontractors (e.g., IT service providers, commercial prospecting). Some of these recipients may be located outside the European Union. Where necessary, appropriate safeguards have been implemented, including the use of standard data protection clauses adopted by the European Commission. LA PLACE FINTECH retains personal data for the time necessary for the operations for which they were collected, in accordance with Regulation 2016/679, for the time necessary to fulfill legal obligations, and/or, when LA PLACE FINTECH carries out commercial prospecting, for a maximum period of three years from the last effective contact with the prospect/company, except for exceptions justified by specific circumstances. The CLIENT has the right to access, rectify, and erase data concerning them, the right to data portability, the right to limit the processing of their data, as well as the right to define general and specific instructions defining how they wish their rights to be exercised after their death. The CLIENT is expressly informed that they also have the right to object to the processing of their personal data for legitimate reasons and the right to object to the use of their data for commercial prospecting purposes. To exercise their rights, the CLIENT must send a letter to LA PLACE FINTECH stating their name, first name, and postal address to which they wish to receive the response, to the following address: laplace.fintech@gl-events.com. The CLIENT may lodge a complaint with a supervisory authority (CNIL in France). 17.2 Processing of personal data carried out by LA PLACE FINTECH as a data processor In the event that LA PLACE FINTECH is required to process personal data on behalf of the CLIENT, LA PLACE FINTECH will act as a data processor and the CLIENT as a data controller. In this context, LA PLACE FINTECH guarantees compliance with the obligations incumbent on data processors and, in particular, that it will only process personal data on instructions from the CLIENT. 17.3 Processing of personal data carried out by the CLIENT The CLIENT is fully and individually responsible for the processing of personal data it carries out. As such, the CLIENT undertakes to comply with the obligations incumbent on data controllers, including transferring to LA PLACE FINTECH, where applicable, personal data collected in accordance with the requirements of the legislation and regulations in force. Furthermore, the CLIENT expressly guarantees LA PLACE FINTECH against any complaints, claims, and/or demands of any kind from a third party that LA PLACE FINTECH may be subject to due to the CLIENT's violation of its obligations as a data controller. The CLIENT undertakes to indemnify LA PLACE FINTECH for any damage it may suffer and to pay all costs, indemnities, charges, and/or convictions that LA PLACE FINTECH may have to bear as a result. 17.4 Business code of conduct The GL events Group has implemented a BUSINESS CODE OF CONDUCT that reflects the values defended by the Group and defines the rules that the Group and its partners must respect. This Code can be downloaded from the following page: https://www.gl-events.com/en/ethics-compliance. The CLIENT declares that they have read and accept the terms of this Code. 17.5 Fight against corruption and influence trafficking The Parties base their commercial relationships on principles of transparency and integrity. The GL events Group has an ANTI-CORRUPTION CODE OF CONDUCT, which can be downloaded from the following page: https://www.gl-events.com/en/ethics-compliance. In accordance with these principles and the Code of Conduct, commercial relationships maintained by the Parties do not give rise to behaviors or actions on their part or that of their legal representatives, employees, subcontractors, suppliers, agents, or any third party they may commission that could be considered as corruption or influence trafficking. During their relationship, each Party reserves the right to demand from the other what measures have been taken to ensure that their legal representatives, employees, subcontractors, suppliers, agents, or any third party they may commission comply with the same commitments and respect the principles of transparency and integrity. This article constitutes an essential commitment in the relationship between the Parties. ARTICLE 18 - CHOICE OF DOMICILE For the execution of the CONTRACT, the CLIENT chooses domicile at their main residence. LA PLACE FINTE CH chooses domicile at Palais Brongniart. ARTICLE 19 - APPLICABLE LAW - JURISDICTION By express agreement between the parties (LA PLACE FINTECH and the CLIENT), the law applicable to these PRESENTS and their consequences is exclusively French law, both with regard to procedural rules and substantive rules. ANY DISPUTE THAT MAY ARISE BETWEEN LA PLACE FINTECH AND THE COMPANY REGARDING THE INTERPRETATION AND/OR EXECUTION AND/OR TERMINATION OF THE CONTRACT, as well as any dispute relating to the termination of the Contract or any commercial relationship for which it would be considered under the provisions of Article L. 442-6 of the Commercial Code, SHALL BE UNDER THE EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF LYON, even in the event of a third-party claim or multiple claimants or defendants. As a major player in the fintech ecosystem, La Place Fintech plays a significant role in promoting innovation, modernizing the financial sector, and positioning France as a European fintech hub. ARTICLE 2 – BENEFITS OF MEMBERSHIP WITH LA PLACE FINTECH LA PLACE FINTECH offers and enables its members to: - Access a business facilitator. - Access combined offers with the global competitiveness cluster, Pole Finance Innovation. - Stay up-to-date with the latest innovations. - Access competitive intelligence. - Attend networking events. - Access advantageous media packages. - Have a dedicated space on our community platform. - Access an internal ticketing service. - Enjoy exclusive discounts (exhibitions, events, rentals). ARTICLE 3 – MEMBERSHIP COMMITMENT The signing of this Membership Application is a commitment to join LA PLACE FINTECH for a duration of 1 year, which entails the payment of the membership fee. The COMPANY's subscription to LA PLACE FINTECH is considered firm and final and does not entitle the reimbursement of the paid membership fee. Any payment of the said fee, made through a corporate card, is presumed to have been made by a duly authorized person to sign on behalf of the subscribing company. This payment does not entitle any refund of the amount paid. By joining LA PLACE FINTECH, the COMPANY agrees to comply with the internal regulations made available at Palais Brongniart. ARTICLE 4 – CONTRACTUAL TERM AND RENEWAL The membership in the Association is valid for a period of 1 year from the date of signing this document. At the end of the first annual membership period, it will be automatically renewed for an additional one-year period unless the member chooses not to renew. In that case, the member's decision not to renew shall be communicated in writing to LA PLACE FINTECH via registered mail with acknowledgment of receipt or by email to LA PLACE FINTECH's representative, at least two months before the expiration date. The same process applies to subsequent renewals. ARTICLE 5 – MEMBERSHIP FEE The annual membership fee is set at three thousand euros per year, all taxes included (€3000 VAT included/year). The entire amount is paid upon the company's subscription. LA PLACE FINTECH reserves the right to adjust the annual membership fee at its own discretion, which may result in a possible increase. ARTICLE 6 – CANCELLATION OF SUBSCRIPTION OR CONTRACT TERMINATION Any cancellation of a subscription or termination of the contract, for any reason, at any time, will not result in the refund of the membership fee paid. Any sum already paid by the COMPANY remains the property of LA PLACE FINTECH. ARTICLE 7 - SITE / COMPLIANCE WITH STANDARDS The COMPANY shall be responsible, vis-à-vis LA PLACE FINTECH, for the repair of damages caused to the site where events/manifestations take place (including Palais Brongniart) due to its representatives, directors, shareholders/partners, employees, officials, etc. The COMPANY shall indemnify LA PLACE FINTECH against any claims in this regard and shall bear the expenses of restoration alone. ARTICLE 8 – LIABILITY AND POSTPONEMENT OF EVENTS/MANIFESTATIONS In the event that the liability of LA PLACE FINTECH is incurred in any way and for any reason during events/manifestations organized by LA PLACE FINTECH, all damages, including direct and/or indirect damages (including intangible damages), will be strictly limited to an amount no greater than one thousand euros (€1000). When events/manifestations organized by LA PLACE FINTECH are postponed or canceled without fault and/or due to circumstances beyond its control, LA PLACE FINTECH is exempt from any liability towards the CLIENT/COMPANY. ARTICLE 9 – INSURANCE - CLIENT'S CIVIL LIABILITY The COMPANY declares that it is covered by liability insurance that guarantees the responsibilities that its representatives, directors, shareholders/partners, employees, officials, etc., authorized by LA PLACE FINTECH to attend events/manifestations organized by LA PLACE FINTECH at Palais Brongniart, may incur. This insurance is intended to cover damages that may occur during the execution of these general terms of membership. Upon LA PLACE FINTECH's first request, the COMPANY will provide its insurance certificate. ARTICLE 10 – CONFIDENTIALITY OBLIGATION The COMPANY agrees to: (i) Take all reasonable precautions, with the same degree of diligence applied to its own confidential information of a similar nature, to prevent the unauthorized disclosure of LA PLACE FINTECH's confidential information. (ii) Not to disclose such confidential information to any third party, except with LA PLACE FINTECH's express written authorization. ARTICLE 11 – INTELLECTUAL PROPERTY RIGHTS OF LA PLACE FINTECH The COMPANY is not authorized to use the trademarks and/or any other distinctive signs of LA PLACE FINTECH in any capacity without its prior written consent. The COMPANY's membership in LA PLACE FINTECH does not grant it any intellectual property rights, including reproduction rights. ARTICLE 12 - COMMUNICATION The COMPANY authorizes LA PLACE FINTECH, for commercial reference purposes and for its own promotion, to reproduce and disseminate (i) photographs and/or videos representing events/manifestations organized by LA PLACE FINTECH in which the COMPANY participated, (ii ) SERVICES provided by LA PLACE FINTECH on behalf of the COMPANY, (iii) the trade name and/or trademark of the COMPANY on all physical and digital media, including its websites, group catalog, institutional brochure, commercial documentation, press and advertising releases, pages created on social networks, or smartphone applications, and any other forms/format of publication in France and abroad for a duration of 5 (five) years from the date of the COMPANY's subscription. In this regard, the COMPANY declares and guarantees that it is the exclusive owner of the rights attached to the elements mentioned above and that it has all the necessary rights and authorizations for the exploitation authorized to LA PLACE FINTECH; otherwise, it is invited to expressly inform LA PLACE FINTECH or indemnify it against any claims that may arise from the exploitation of the rights listed above. ARTICLE 13 – ENFORCEABILITY Due to the specificity of the nature of the SERVICES and the indispensable know-how required for the performance of LA PLACE FINTECH's obligations under the CONTRACT, the PARTIES expressly agree to exclude the application of the provisions of articles 1221 and 1222 of the Civil Code. ARTICLE 14 – FORCE MAJEURE In accordance with the provisions of article 1218 of the Civil Code, LA PLACE FINTECH's obligations will be suspended in the event of force majeure. By express agreement, any event qualified as force majeure by law and jurisprudence, including, but not limited to, war, riots, fire, general strikes, natural disasters, shortages of raw materials including fuel, transport strikes, administrative closure of Palais Brongniart ordered by a competent authority with necessary police powers unrelated to the COVID-19 epidemic, even if the legal and jurisprudential conditions are not met, shall constitute force majeure. In the event of force majeure, LA PLACE FINTECH will officially inform the COMPANY by registered letter with acknowledgment of receipt or by email to the COMPANY's representative. As a result, the performance of the obligations will be suspended. (i) If the impediment is temporary, the execution of the obligation will be suspended unless the resulting delay justifies the termination of the CONTRACT. (ii) If the impediment is permanent, in derogation of the first paragraph of article 1218 of the Civil Code, the CONTRACT will be automatically terminated, and LA PLACE FINTECH will be released from its obligations. ARTICLE 15 – COVID-19 – SPECIFIC CANCELLATION OR POSTPONEMENT CLAUSE In the event that one or more of the Restrictions listed below apply to the EVENT/manifestation as a result of the Covid-19 pandemic, the Parties agree to either: i. Postpone the execution of the SERVICES to a later date within a maximum of four (4) months. ii. If the postponement of the services is not possible, terminate the CONTRACT. This termination will take effect on the date of receipt by the COMPANY of LA PLACE FINTECH's first written request for termination of the CONTRACT. List of Restrictions: Measures issued by competent authorities: lockdown, prohibition of gatherings, administrative closure of the venue, travel restrictions affecting at least 50% of the participants in the EVENT/manifestation. ARTICLE 16 – UNFORESEEABILITY The PARTIES exclude the application of the provisions of article 1195 of the Civil Code. In the event of an imbalance in the CONTRACT due to an unforeseeable change in circumstances at the time of its conclusion, the PARTIES will meet, and LA PLACE FINTECH may request a renegotiation of the PRICE. In the event of a refusal or failure to renegotiate, the contract will be automatically terminated. The communication of personal data is mandatory to process the ORDER, as long as the personal data is identified by an asterisk or indicated as such. The processing of personal data has the following purposes: A) Management and follow-up of the contractual or pre-contractual relationship (negotiations, processing, and execution of services, invoicing, management of unpaid invoices and disputes); B) Exploitation, development, and management of client/prospect databases (sending newsletters, commercial prospecting, handling requests to exercise rights, management of contact requests); C) Improvement and customization of services for the COMPANY (statistics, satisfaction surveys, newsletter subscriptions); D) Transfer of personal data to LA PLACE FINTECH's partners within the scope of a business relationship (transfers); E) Compliance with legal obligations. The legal basis for the processing of personal data, the purpose of which falls into the abovementioned categories, is: - For category A): the performance of a contract or the performance of pre-contractual measures taken at the request of the COMPANY. - For categories B) and C): the legitimate interest represented by these categories for LA PLACE FINTECH. - For category D): the consent of the COMPANY. It may be withdrawn at any time thereafter. - For category E): compliance with legal obligations. The recipients of personal data are the relevant departments of LA PLACE FINTECH, its partners or companies in the GL events group (if applicable), and certain subcontractors (e.g., IT service providers, commercial prospecting, etc.). Some of these recipients may be located outside the European Union. Where necessary, appropriate safeguards have been implemented, including the use of European Commission-approved standard contractual clauses. LA PLACE FINTECH retains personal data for the time necessary for the operations for which they were collected, in accordance with the above-mentioned Regulation 2016/679, for the time required to meet legal obligations and/or, when LA PLACE FINTECH conducts commercial prospecting, for a maximum of three years from the last effective contact with the prospect/company unless exceptions are justified by specific circumstances. The COMPANY has the right to access, rectify, and erase its data, the right to data portability, the right to limit the processing of its data, and the right to define general and specific instructions defining how its rights should be exercised after its liquidation. The COMPANY is expressly informed that it also has the right to object to the processing of its personal data for legitimate reasons and to object to the use of its data for commercial prospecting purposes. To exercise its rights, the COMPANY must send a letter to LA PLACE FINTECH specifying its name, first name, and postal address to which it wishes to receive the response, to the following address: laplace.fintech@gl-events.com. The COMPANY may also file a complaint with a supervisory authority (CNIL in France). 17.2 Processing of personal data carried out by LA PLACE FINTECH as a data processor In the event that LA PLACE FINTECH is required to process personal data on behalf of the COMPANY, LA PLACE FINTECH will act as a data processor, and the COMPANY will act as a data controller. In this context, LA PLACE FINTECH guarantees compliance with the obligations incumbent on data processors, particularly that it will only process personal data on the instructions of the COMPANY. 17.3 Processing of personal data carried out by the COMPANY The COMPANY is solely and individually responsible for the processing of personal data it carries out. Accordingly, the COMPANY undertakes to comply with the obligations incumbent on any data controller, including transferring to LA PLACE FINTECH, if applicable, personal data collected in accordance with the requirements of current legislation and regulations. In addition, the COMPANY expressly guarantees LA PLACE FINTECH against any complaints, claims, and/or demands whatsoever from a third party that LA PLACE FINTECH may incur as a result of the COMPANY's violation of its obligations as a data controller. The COMPANY undertakes to indemnify LA PLACE FINTECH for any damages it may suffer and to pay all expenses, indemnities, charges, and/or convictions that LA PLACE FINTECH may have to bear as a result. 17.4 Business Code of Conduct The GL events Group has established a BUSINESS CODE OF CONDUCT that sets out the values defended by the Group and defines the rules that the Group respects and requires its partners to respect. The COMPANY declares that it has read and accepted its terms. 17.5 Anti-corruption and influence trafficking The Parties base their business relations on principles of transparency and integrity. The GL events Group has an ANTI-CORRUPTION CODE OF CONDUCT, which can be downloaded from the page https://www.gl-events.com/en/ethics-compliance. In accordance with these principles and the Code of Conduct, the business relations maintained by the Parties do not give rise to behavior or actions by them or by their legal representatives, employees, subcontractors, suppliers, agents, or any third party they may instruct that could be characterized as corruption or influence trafficking. During their relationship, each Party reserves the right to demand from the other Party the measure(s) taken to ensure that their legal representatives, employees, subcontractors, suppliers, agents, or any third party they may instruct comply with the same commitments and respect the principles of transparency and integrity. This article constitutes an essential commitment in the relationship between the Parties. ARTICLE 18 - ELECTION OF DOMICILE For the execution of the CONTRACT, the COMPANY elects domicile at its registered office. LA PLACE FINTECH elects domicile at Palais Brongniart. ARTICLE 19 – APPLICABLE LAW – JURISDICTION By express agreement between the parties (LA PLACE FINTECH and the COMPANY), the law applicable to the TERMS and their consequences is exclusively French law, both with regard to the rules of procedure and the substantive rules. ANY DISPUTE THAT MAY ARISE BETWEEN LA PLACE FINTECH AND THE COMPANY REGARDING THE INTERPRETATION AND/OR PERFORMANCE AND/OR TERMINATION OF THE CONTRACT, as well as any dispute relating to the termination of the Contract or any business relationship for which it would be considered in accordance with the provisions of Article L. 442-6 of the French Commercial Code, SHALL BE EXCLUSIVELY SUBJECT TO THE JURISDICTION OF THE COMMERCIAL COURT OF LYON, even in the event of third-party proceedings or multiple claimants or defendants.
